Job Summary:

This position is responsible for directing all Company-wide acquisitions, joint ventures, start-ups and other business development, including strategic planning and overseeing projects assigned to special task forces. The Manager of Planning and Development reports to the Sr. VP of Planning and Development.

Responsibilities:
  • Directs PennWell’s global acquisition and diversification program. Identifies and meets with prospects; prepares market and financial evaluations; conducts negotiations and due diligence; coordinates assimilation; prepares letter of intent and drafts purchase agreements and contracts for acquisitions, joint ventures and other business relations. Works with legal counsel as required for such projects and other legal issues related to the company.
  • Prepares complex acquisition, joint venture and business start-up models including detailed forecasting, deal structure development, and calculations of financial returns and other valuation parameters.
  • Directs and coordinates Company-wide strategic planning process; monitors and reports progress to President, provides counsel to publishers and other managers regarding this process; serves as a resource regarding financial impact of proposed strategic plans.
  • Reviews the work of operating managers on new ventures, business plans, and other proposals and programs, including international projects and especially as required in development of new markets, expansion of Company operations and diversification of Company business lines.
  • Participates in meetings with senior management and Board of Directors; identifies projects or issues which require follow-up efforts, and develops specific plans or action steps to resolve identified issues or realize the business opportunities involved.
  • Serves as a member of PennWell’s Management team; recommends appropriate topics for review by the management team; prepares agendas and oversees assembly meeting materials for the management team and strategy sessions.
  • Serves as chairperson for special task forces and ad hoc projects for business development; reports progress and recommends appropriate action.
  • Develops and recommends for approval by President, the Company’s new ventures and planning & development budgets; monitors actual expenditures in comparison to budget.
  • Performs other responsibilities as assigned.
Requirements:

Essential Qualifications:
  • MBA or equivalent training in Business, Finance, Economics, or a related quantitatively-oriented discipline.
  • At least four years of progressive growth in responsibility related to financial planning and analysis
  • Extensive experience in financial modeling using Excel.
  • Demonstrated skills in evaluating and negotiating acquisitions of substantial magnitude ($10 to $15 million). Ability to draft all the necessary documents. Ability to work with and supervise legal, accounting and finance process.
  • Demonstrated conceptual and analytical skill in the design or evaluation of programs with proven pragmatism, judgment and common sense in the development and implementation of workable approaches.
  • Excellent interpersonal, oral and written communication skills with the ability to work effectively with personnel at all levels of the organization, including Directors and Shareholders, and to show a high degree of responsiveness and sense of urgency in meeting organizational needs.
  • Proven skill and effectiveness in the planning, implementation, and management of projects with the ability to manage without authority, ensuring that each team member completes assigned tasks and desired results are achieved in a timely manner. .
Must be available for periodic international travel.
Demonstrated aptitude for problem-solving and critical thinking.
