PT. Rajawali Nusantara Indonesia (Rajawali Nusindo) is one of the oldest companies in Indonesia with brilliant track records. In the beginning the company’s name was Kian Gwan Company Limited NV, established by the deed No. 85 made before Tan A Sioe Notary in Semarang dated July 22, 1955 under the umbrella of Oei Tiong Ham Concern group of businesses. Its Articles of Association had been amended by the deed No. 91 dated August 30, 1955 made before the same Notary and had been legalized by the Justice Minister of the Republic of Indonesia under No. J.A.1/103/13 on November 5, 1955.
In 1961 the company was nationalized by the Government of the Republic of Indonesia based on the Decision of Economic court No. 32/1961 EKS dated July 10, 1961 which then affirmed by the Decision of the Supreme Court of the Republic of Indonesia No. 5/Kr/K/1963 dated April 27, 1963 under which decision, the business activities had been under the control of the Minister / General Attorney and further, on July 20, 1963 the control was handed over from the General Attorney to the Minister of Financial Revenue and Supervision Affairs which currently is the Finance Minister of the Republic of Indonesia.
Grounded on the Decree of the Minister of Financial Compartment dated August 19, 1964 No. 0642/M.K.3/64, all assets of Oei Tiong Ham Concern by the Government were used as contributed capital of the Government in the establishment of PT. Perusahaan Perkembangan Ekonomi Nasional (PPEN) Rajawali Nusantara Indonesia including all shares in Kian Gwan Company Indonesia Limited NV.
In its development, according to the Deed No. 5 made before Joeni Moelyani, Notary in Semarang dated February 1, 1971, the Articles of Association of Kian Gwan Company Indonesia Limited NV had been amended by changing the company’s name into PT. Rajawali Impor Ekspor and on June 18, 1971 the Company’s Articles of Association were then amended by the Deed No. 37 made before the same Notary changing the company’s name into PT. Perusahaan Impor Ekspor Rajawali Nusindo and such change of name was legalized by the Justice Miinister of the Republic of Indonesia by the Decree No. J.A.5/138/3 dated September 23, 1971. On June 27, 1975 the Articles of Association were then reamended by declaration that all shares in PT. PIE Rajawali Nusindo were held by PT. PPEN Rajawali Nusantara Indonesia. The Company’s Articles of Association were then amended again on August 6, 1981 by raising the capital of the company, which amendment had been legalized by the Justice Minister of the Republic of Indonesia by the Decree No. C2-5684.HT.01.04.TH.83.
On May 29, 1995 by the Deed No. 107 made before Imas Fatimah SH. Notary in Jakarta the Company’s Articles of Association were then reamended by raising the capital and to abbreviate the Company’s name PT. Perusahaan Impor Ekspor Rajawali Nusindo into PT. Rajawali Nusindo and the Articles of Association amendment was legalized by the Justice Minister of the Republic of Indonesia under the Decree No. C2-7539.HT.01.04.TH.96 dated March 6, 1996. Further the Articles of Association were reamended by the Deed No. 88 made before Notary Sutjipto SH on July 17, 1996 by raising the capital and the amendment had also been legalized by the Justice Minister of the Republic of Indonesia by virtue of the Decree No. C2-HT.01.04.A.805 dated January 25, 1997.
On July 8, 1998 the Company’s Articles of Association were then reamended by the Deed No. 21 dated July 8, 1998 by changing the objectives and purposes of the Company as well as the change of the Company’s capital structure. The amendment had been legalized by the Justice Minister of the Republic of Indonesia by virtue of the Decree No. C2-18.868.HT.01.04.TH.98 dated October 2, 1998. Further the Company’s Articles of Association were reamended by the deed No. 32 made before Notary Sutjipto SH dated June 12, 2001 with respect to the merger of PT Rajawali Nusindo into PT Rajawali Nusantara Indonesia. The amendment of the Articles of Association had been legalized by the Justice and Human Rights Minister of the Republic of Indonesia by the Decree No. C-05796.HT.01.04.TH.2001 dated August 14, 2001.
On October 31, 2004 by the Deed No. 4 made before Nanda Fauz Iwan, SH, M.Kn, Notary practicing in Jakarta, the distribution and trading unit PT. Rajawali Nusantara Indonesia was separated into a subsidiary bearing the name PT. Rajawali Nusindo. The establishment of the company was approved by the State Minister of State-owned Enterprises by the Decree No. S-244/MBU/2004 dated May 4, 2004 and legalized by the Justice and Human Rights Minister of the Republic of Indonesia by virtue of the Decree No. C-16617 HT.01.01.TH.2004 dated July 2, 2004.
The Articles of Association Amendment should be resolved by the General Meeting of Shareholders, attended by the Shareholders representing at least two thirds (2/3) of all total shares with valid voting rights and must be approved by at least two thirds (2/3) of the votes. The amendment must be made by Notary deed, in Indonesian language, reported to the Justice Minister of the Republic of Indonesia and registered in the Company Register.

In developing its business, PT Rajawali Nusindo has always been paying intensive attention to the development of its human resources. Various trainings aimed to improve the competencies of personnel have been provided and which in turn will be an assurance for the improvement of the Company’s performance quality.
