Negotiate contract:
- SOC review and analysis, filter out non-standard requirements and clauses
- Design overall commercial model (commercial terms and conditions)
- Analyze and manage (commercial) risks
- Establish and manage projects and negotiation teams
Contract change management:
- Lead the negotiation team to execute the negotiation
- Plan the negotiation strategy
- Organize the negotiation process and lead the negotiations
- Coordinate with internal stakeholders i.e. professional departments and execute the contract review sub process
- Analyze and manage (commercial) risks
- Identify and report key issues to senior management
- Carry out contract due diligence analysis (i.e. evaluate customer credit status)
- Draft contract documents: prepare draft and final versions of main body, annexes and related documents for signing; coordinate the internal sign-off process and closing of contracts in accordance with the authorization levels set; coordinate decision making process; notify relevant stakeholders of the contract signing
- Handle contract variation e.g. change requests (modification, addition, deletion, correction, supplementation of contracts)
- Claim management
- Contract close or termination management
